To use our Services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

• Notify us immediately of any unauthorized access
• Not share your account credentials with others
• Accept responsibility for all activities under your account

4. Acceptable Use Policy

5. Intellectual Property Rights

All content, features, functionality, software, AI models, and technology on our platform are owned by Quanix AI and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of the construction drawings, specifications, and other materials you upload ("Your Content"). By uploading Your Content, you grant us a limited license to process, store, and analyze it solely to provide our Services.

5.3 Generated Estimates

You own the estimates, BOQs, and reports generated by our Services. We retain the right to use anonymized, aggregated data to improve our AI models and Services.

6. Pricing and Payment

6.1 Fees

Access to certain features requires payment of fees. All fees are displayed on our website and are subject to change with 30 days' notice.

6.2 Billing

You agree to pay all fees associated with your account. Payments are processed through secure third-party payment processors. All fees are non-refundable except as required by law.

6.3 Late Payment

Failure to pay fees may result in suspension or termination of your access to the Services.

7. Service Level and Availability

We strive to provide reliable, high-quality Services. However, we do not guarantee:

• Uninterrupted or error-free operation
• 100% accuracy of AI-generated estimates
• Specific turnaround times (though we aim for 24-48 hours)
• Compatibility with all devices or browsers

You are responsible for reviewing all generated estimates for accuracy before use.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANIX AI SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Errors or inaccuracies in estimates or calculations
• Costs of procurement of substitute services

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold Quanix AI harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

10.1 By You

You may terminate your account at any time by contacting us. Termination does not relieve you of payment obligations for services already provided.

We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees, or engage in fraudulent or illegal activities.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases. We may delete your data after 30 days unless legally required to retain it.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of Services after changes constitutes acceptance of modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of Ireland. Any disputes shall be resolved through binding arbitration or in the courts of Ireland.
